With a population of over one billion and growing, India offers companies a large, integrated and dynamic potential market to explore. If you are interested in doing business in this market, you should establish a legal presence for your company in India by registering your business and submitting the relevant forms to the relevant Indian authorities.
Preparing to do business in India
1. Familiarize yourself with India and its culture. Before online company registration in India, you should familiarize yourself with some basic facts about the country, its people and business practices, if you are not familiar with the country or have not visited it.
If you are not familiar with the general picture of India, from information about its society and customs to business practices, knowledge of the picture will facilitate the registration process and the conduct of business in the country.
Companies in the United States, for example, tend to conduct business on a transactional basis, while business in India remains largely relationship-based. Knowing the right network of people is likely to promote your business rather than focus on specific transactions.
2. Familiarize yourself with the Indian business authorities if you have little or no information about them. All companies in India are subject to the Companies Act 1956 which allows the government to regulate all aspects of a company from its creation to its liquidation.
For online company registration in lucknow, you must submit your complete online application to the Registrar of Companies, Government of India, or RoC. The RoC, which is under the jurisdiction of the Ministry of Corporate Affairs, oversees the formation of new companies and the administration of companies under the Companies Act.
3. Choose the possible names for your company. To register a company in India, you first need to have a unique company name approved by the RoC.
It is a good idea to have at least four potential names for your company in case some other entity registers under that name with RoC.
By conducting a due diligence in language and culture if you are not familiar with either, you can avoid choosing names that might offend potential Indian customers or be rejected by the Indian authorities.
For example, you may not use a name that implies a connection with the government or international organizations.
Consider adapting the name to the Indian market to attract more customers.
4. Check online to see if your company name is available. Before applying for your company’s registration, it is good that your company name is well established to ensure that the registration process is not hindered.
The Ministry of Corporate Affairs of India operates a website where you can check if other companies have registered under a particular name.
5. Apply online to the Ministry of Corporate Affairs for the DIN (Director’s Identification Number). Before you can register your company, you must apply for a DIN. This unique number, assigned by the Ministry of Corporate Affairs, identifies the current or potential director of your company in India.
The DIR-3 and DSC forms, which can be found online on the Ministry of Corporate Affairs website, will allow you to apply for DIN online. Both documents require information such as passport, proof of address, educational qualifications and current employment. You will also need a passport photograph.
6. Register online for a DSC (Digital Signature Certificate). DSCs are the digital equivalent of paper or physical certificates and can be submitted to prove your identity, to access information or services on the Internet or to sign certain documents in digital format.
You can register online to obtain your DSC on the website of the Ministry of Corporate Affairs.
The Ministry of Corporate Affairs requires all companies to have a DSC because companies will submit all applications online.
The same identification documents, including passport and proof of address, are required to obtain a DSC as for DIN.

Preparing Your Application for Registration
1. Collect application materials. Once you have checked the names of the companies and obtained their DIN and DSC, you are ready to prepare your company registration application for online submission with RoC.
All the required forms that you will submit online with your completed application can also be found online on the RoC website.
2. Complete electronic form 1A. This form governs the name of your company.
You must list a minimum of four possible names and a maximum of six in order of preference.
3. Submit the 1A form online to request your company name. The RoC will approve your company name based on availability and suitability.
It usually takes two days before the RoC approves one of your name choices.
You will have to pay a fee of 500 rupees when submitting this form.
After the RoC has approved your company name, you have six months to register it online.
4. Draw up the Memorandum of Association (MoA) and Articles of Association (AoA). Both you and your legal counsel can draft these documents, which contain information about the company’s business objectives and day-to-day operations.
The Memorandum of Association contains the company’s business objectives.
The articles of association contain details of the company’s day-to-day operations, including its management.
Each document must be signed by at least two members of the company with their own hands. A witness is also required for signatures.
5. Send online to review MoA and AoA for RoC. Once you have written these documents, you can send them online to RoC for research.
6. After the RoC has approved the MoA and AoA, print the documents to prepare them for legalization.
7. You will submit these documents to the stamping authority for the geographical region of India where you register your business.
Once you have a certified copy, you can scan these documents and send them online with your completed application materials.
8. Payment of the prescribed registration and filing fees online on the Ministry of Corporate Affairs website is the last step before you can submit your application to the RoC.
The required fee is based on your company’s capital assets.
Submitting the application for registration
1. Find the appropriate RoC office to submit your application. 2. Apply online for the Indian state where you wish to register your company.
The RoC has offices throughout India dealing with specific states and regions.
2. 2. Collect the complete application documentation. You will need to have the documents you have prepared ready to be uploaded to the Ministry of Corporate Affairs website to file your company’s registration with the RoC. Remember that you will register your company online on the Ministry of Corporate Affairs website.
The RoC believes that a completed application consists of the following documents, in duplicate: a sealed MoA; a sealed AoA; a copy of the agreements referred to in the articles; a copy of the RoC’s letter of availability of the company name; electronic form No. 1 for incorporation; and receipts for payment of registration and filing fees.
3. 3. Submit the request with the RoC. Now that you have collected all the materials needed for the application, you are ready for electronic filing with the RoC for your company’s registration.
You will send it to the MCA website. You have a notice to upload all application materials; from DNI and DSC to MoA, AoA and registration fee payment receipts.
4. Get the certificate of incorporation. RoC will examine your application and issue the Certificate of Incorporation if the documents are satisfactory.
If the RoC does not find the application satisfactory, you will be informed of the missing documents.

You may resubmit your application after making the necessary corrections.
5. Conduct Business! Once the RoC issues your Certificate of Incorporation, you are ready to start doing business in India.
